Terms of Service
Last updated Oct 26, 2026
These Terms govern your use of Ingot, the desktop AI code editor, the ingot.dev website and portal, and the hosted model service (together, the "Service"). The Service is operated by John Yaghobieh, Israel ("Ingot", "we", "us"). By creating an account or using the Service you agree to these Terms.
1. The Service
Ingot is an open-source code editor with AI agents. You can use it with your own model provider keys ("BYOK") or with models hosted through your Ingot account. The editor source code is licensed under Apache-2.0; these Terms cover the hosted parts of the Service (accounts, the portal, sync and hosted models).
We may change, add or remove features. If a change materially reduces a paid plan you already paid for, you may cancel and ask for a pro-rata refund of the unused part.
2. Accounts
You must be at least 16 years old and give accurate information. You are responsible for activity under your account and for keeping your sign-in methods and access tokens secure. Tell us at once at support@ingot.dev if you suspect unauthorized use.
Team plans: the team owner is responsible for the seats they buy and for the members they invite.
3. Plans, payment and taxes
Paid plans are sold by our reseller and merchant of record, Paddle.com Market Limited ("Paddle"). Paddle processes your payment, issues your invoice and handles sales tax / VAT. Your purchase is also subject to Paddle's buyer terms (paddle.com/legal/checkout-buyer-terms).
Subscriptions renew automatically each month or year until cancelled. You can cancel at any time from Plan & billing; your plan stays active until the end of the paid period. Upgrades and downgrades are prorated. Prices are shown before you pay and may change for future periods with at least 30 days notice.
If a renewal payment fails we keep your plan for a 7-day grace period while the payment is retried; after that the account moves to the Free plan.
Top-up credit is a one-time purchase of hosted model usage. It is valid for 12 months, is not cash, cannot be transferred and has no cash value except where the law requires.
4. Hosted models and usage limits
Each plan includes a monthly allowance of hosted model usage and a spend cap. When the allowance is used you can upgrade, buy top-up credit or continue with your own keys. Hosted models are provided by third-party model providers; availability, speed and output quality are not guaranteed and models may be added or removed.
We may apply fair-use limits, rate limits or pause a model to protect the Service, other users or our costs.
5. Bring your own key
When you use your own provider keys, your requests go to that provider under your own agreement with them, and you pay them directly. Keys saved in your account are encrypted at rest and only used to make the requests you start.
6. Your content and AI output
You keep all rights in your code, prompts and files ("Your Content"). You give us only the permissions needed to run the Service for you (for example, to send a prompt to the model you picked and to sync your settings). We do not use Your Content to train models.
AI output can be wrong, insecure or similar to other code. You are responsible for reviewing, testing and deciding whether to use it, and for having the rights to the content you send.
7. Acceptable use
You must follow the Acceptable Use Policy at ingot.dev/legal/acceptable-use. We may suspend or end accounts that break it.
8. Termination
You can stop using the Service and delete your account at any time. We may suspend or end your access if you materially breach these Terms, if required by law, or to prevent harm. If we end a paid plan without cause we refund the unused part.
9. Disclaimers and liability
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, our total liability for any claim is limited to the amount you paid us in the 12 months before the claim, and we are not liable for indirect or consequential losses, lost profits or lost data. Nothing in these Terms limits liability that cannot be limited by law, or your statutory rights as a consumer.
10. Changes and law
We may update these Terms. For material changes we give at least 30 days notice by email or in the portal. Continued use after the change means you accept it.
These Terms are governed by the laws of the State of Israel, and the courts of Tel Aviv-Jaffa have exclusive jurisdiction, except where consumer law gives you the right to bring a claim where you live.
